1. Eligibility
Program access is limited to licensed medical and life-science organizations, physicians, clinics, research labs, universities, and entities approved by Elite Eons in writing.
2. Research Use Only
All products are Research Use Only (RUO). Buyer shall incorporate equivalent RUO restrictions in all downstream sales and documentation.
3. Channel Controls
Buyer may not sell on third-party marketplaces (Amazon, eBay, Walmart) without prior written consent. No repackaging or relabeling without written approval from Elite Eons.
4. Payment Terms
Default terms are Net 30 from invoice date. Past-due balances accrue 1.5% interest per month. Chargebacks are prohibited and constitute a material breach of these terms.
5. Shipping & Risk
FOB Origin. Title and risk pass upon tender to the carrier. Buyer must refrigerate per product datasheet upon receipt. Elite Eons is not liable for damage caused by improper storage after delivery.
6. Liability
Buyer assumes full responsibility for the safe handling, storage, and downstream use of all products. Elite Eons shall not be held liable for any damages arising from buyer’s use or resale of products.
7. Governing Law
These Terms are governed by the laws of the State of Florida. Exclusive jurisdiction in Pinellas County, Florida.
